Terms of Service

These Terms of Service ("Terms") govern access to and use of the UbiBoard platform (the "Service"), operated by Solvity s.r.o. ("Solvity", "we", "us"). By creating an account, logging in, or continuing past the login screen where acceptance is referenced, you confirm that you have read, understood, and agree to be bound by these Terms and the Privacy Policy. If you do not agree, you must not use the Service.

2. Definitions

  • "User" means any individual who accesses or uses the Service.
  • "Community" means a user-created group within the Service.
  • "Administrator" means a User with management permissions over a Community.
  • "Content" means any data, documents, messages, images, or other materials uploaded or generated by Users.

3. Eligibility and Accounts

The Service is intended for users capable of entering into a legally binding agreement. The Service is not directed at children. No age verification is performed. Minors may only access the Service under the responsibility and supervision of a legal guardian or Community Administrator who adds them to a Community or unit.

Users must provide accurate and complete information when creating an account. Users are responsible for maintaining the confidentiality of login credentials and for all activity occurring under their account.

4. Communities and Administration

Communities are created and managed by Users. Administrators determine membership, permissions, visibility of Content, and internal rules. Solvity does not control Community membership decisions and is not responsible for access granted by Administrators.

Administrators are responsible for ensuring that their Community's use of the Service complies with applicable law and these Terms.

5. User-Generated Content

Users retain ownership of Content they upload. Users are solely responsible for the legality, accuracy, and rights associated with their Content. Solvity does not proactively monitor, moderate, or verify Content.

If Solvity receives a notice from a User, third party, or authority alleging illegal or unlawful Content or activity, Solvity may review the reported matter and take appropriate action, including restriction, suspension, or termination of access, where required or permitted by law.

6. Prohibited Use

Users must not use the Service for unlawful purposes, fraud, harassment, unauthorized access, malware distribution, infringement of rights, or any activity that disrupts the Service or harms others. Violations may result in suspension or termination.

7. Subscriptions and Payments

Certain features require a paid subscription. Payments are processed by Stripe. Solvity does not store or process payment card details. Subscription terms, billing cycles, taxes, renewals, and cancellations are displayed at the point of purchase.

New users may be offered a free trial period. During this period, users may withdraw without charge. After the trial ends, the subscription becomes payable unless cancelled.

8. Consumer Right of Withdrawal

If you are a consumer under EU law, you have the right to withdraw from a paid subscription within 14 days of purchase unless the Service has been fully performed and you have expressly requested immediate access. Where a free trial is provided, this trial satisfies the withdrawal period.

9. Suspension and Termination

Solvity may temporarily suspend an account where violations, security concerns, or legal risks are suspected. During suspension, access is blocked but data is preserved.

Users will be notified and may submit an appeal by email within 14 days. If the appeal is unsuccessful or no response is received, the account may be terminated. Immediate termination may occur where legally required.

10. Service Availability

The Service is provided on an "as is" and "as available" basis. Solvity does not guarantee uninterrupted operation, error-free functionality, or permanent storage of Content. Users are responsible for maintaining backups of important data.

11. Data Protection

All data is stored within the European Union. Data is transmitted using HTTPS encryption. Personal data is processed in accordance with the Privacy Policy and applicable EU data protection laws. Data is retained only as necessary to operate, secure, and maintain the Service or as required by law.

12. Intellectual Property

The Service, including its software, design, and branding, is the property of Solvity or its licensors. Users receive a limited, non-exclusive, non-transferable license to use the Service in accordance with these Terms.

13. Limitation of Liability

To the maximum extent permitted by law, Solvity shall not be liable for indirect, incidental, consequential, or special damages. Solvity's total liability arising out of or relating to the Service shall not exceed the total fees paid by the User to Solvity in the twelve (12) months preceding the claim.

Nothing in these Terms limits liability for intentional misconduct or gross negligence where such limitation is prohibited by law.

14. Indemnification

Users agree to indemnify and hold Solvity harmless from claims arising out of their Content, use of the Service, or violation of these Terms.

15. Changes to the Terms

Solvity may update these Terms from time to time. Updated Terms will be published within the Service. Continued use after the effective date constitutes acceptance.

16. Governing Law and Jurisdiction

These Terms are governed by the laws of the Czech Republic and applicable EU law. Disputes shall be resolved by the competent courts of the Czech Republic unless mandatory consumer law provides otherwise.

17. Severability

If any provision of these Terms is held invalid, the remaining provisions shall remain in full force and effect.
